Dangote Petroleum Refinery and Petrochemicals FZE has opened its Initial Public Offering (IPO) to investors at N525 per share, with retail investors able to participate with a minimum investment of N5,250. 

The minimum subscription is 10 ordinary shares, offering ordinary Nigerians an opportunity to own a stake in the 650,000-barrel-per-day refinery. The offer is targeting about N2.15tn, potentially making it one of Africa’s largest equity offerings.

President and Chief Executive Officer of Dangote Industries Limited, Aliko Dangote, unveiled the terms of the offer on Monday at a signing ceremony in Lagos.

The Securities and Exchange Commission has approved the transaction, while the shares are scheduled to be listed on the Nigerian Exchange Limited.

Dangote described the offering as a major milestone for the refinery and the wider African capital market.

The offer is priced at a fixed N525 per share, with investors required to make full payment for their subscriptions.

The public offer will run from September 14 to October 13, 2026, giving investors one month to participate.

Retail investors will subscribe electronically through approved fintech investment platforms and stockbrokers, while institutional investors will participate through the prescribed institutional application process.

The structure is designed to broaden ownership of the refinery beyond major institutional investors and give retail investors access to an asset that has become central to Nigeria’s downstream petroleum industry.

The offer also provides for oversubscription of up to 30 per cent, subject to the terms of the transaction.

The N2.15tn fundraising comes as Dangote Refinery pursues plans to expand its current 650,000 barrels-per-day capacity to 1.4 million barrels per day.

The refinery has also expanded its international footprint, exporting refined petroleum products to African and other international markets.

The transaction will proceed through the capital-market process ahead of the opening of the offer on September 14.

If fully subscribed, the base offer is expected to raise about N2.15tn, potentially making it one of the largest share sales in Africa and a major development for Nigeria’s capital market.
